Monthly Board Meeting Minutes
March 28, 2026
Meeting Minutes As Follows:
1. Matthew:Called meeting to order at 09:04 - Agenda passed out.
2. All Board Members present (Jose sitting in for Marycarmen) Quorum.
3. Introduction of all attendees.
4. Matthew: Review Last months (February) minutes, moved to approve minutes, Maty second, minute approved.
5. Matthew: Moved to adopt and approve “New Amendments” into current By-Laws, Clay second.
Matthew explained each suggested proposal of By-Laws Amendment changes. VOTE:
a. Amendment to Article 1, all in favor: (11), oppose: (0), Passes.
b. Amend Article 3, Section 1, all in favor: (11), oppose: (0), Passes.
c. Amend Article 3, Section 2, all in favor: (11), oppose: (0), Passes.
d. Amend Article 3, Section 5, all in favor: (11), oppose: (0), Passes.
e. Amend Article 3, Section 6, all in favor: (11), oppose: (0), Passes.
f. Amend Article 4, Section 1, all in favor: (11), oppose: (0), Passes.
g. Amend Article 4, Section 2, all in favor: (11), oppose: (0), Passes.
h. Amend Article 6, all in favor: (11), oppose: (0), Passes.
i. Amend Article 7, Section 3, all in favor: (11), oppose: (0), Passes.
j. Amend Article 10, all in favor: (11), oppose: (0), Passes.
k. Amend Article 11, all in favor: (11), oppose: (0), Passes.
l. Amend Article 13, all in favor: (11), oppose: (0), Passes.
m. Amend Article 14, all in favor: (11), oppose: (0), Passes.
6. All recommended proposals to By-Laws were unanimously approved.
7. Maty will translate By-Laws once completed adding amendments.
8. Clay: Approval to adopt new “Non-Payment Water Disconnect Procedures and Policy, all in favor: (11), oppose: (0), Passes.
9. Contact Maty for all payment matters and concerns.
10. Matthew: Working on building new company website: “wilsonagardensmutualwater.org”, adding links and information that will be pertinent to our community and our company.
11. Clay: L.A. County Water Works bill paid. The issue was that it was still being sent to Accurate Bookkeeping, that has now been corrected and removed. Backflow device that L.A. County requires annual testing failed test, replaced at a cost of $1,000.00, backflow device, inspected again, Passed. Two reports still being worked on with due dates of April 1st, and April 10th.
12. Matthew currently completing eRA report, and Clay working on report for community notification.
13. Matthew: Website will have links to reports, water tests, CCR, and other water company matters.
14. Maty: Everyone please provide your email address if you have not already done so, thank you.
15 Open for questions: 1. What happens in two years if noone what to run for a board member position? Matthew: The current board member will stay in place unless resigns. 2. How long will it tyake to turn water off for non payment? Matthew/Clay: We will adhere to the law and as our policy specifies and requires.
16. Matthew: Moved to adjourn meeting, Maty second, meeting is adjourned.
